  1. Introduction

These Terms & Conditions of Sale apply to products purchased from RGB Industries, operated by Dulkara Holdings Pty Ltd (ABN 89 008 092 475), through our website or online store.

By placing an order, customers acknowledge that they have read and agree to these terms.

Nothing in these terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

  1. Products and Specifications

RGB Industries manufactures and supplies a range of industrial, commercial and custom-made products.

We make reasonable efforts to ensure that product descriptions, specifications, dimensions and images displayed on our website are accurate.

Product images are provided for illustrative purposes and may not represent every available configuration, finish or variation.

Customers should review all relevant product information before placing an order.

Where specific dimensions, materials, finishes or performance requirements are essential, customers should confirm these requirements with RGB Industries before purchasing.

  1. Product Availability

Products displayed on our website may be:

  • Available from stock.
  • Manufactured to order.
  • Custom-manufactured to customer specifications.
  • Subject to material availability or production scheduling.

Product availability and manufacturing lead times may change.

Where an ordered product becomes unavailable or cannot be supplied within the agreed timeframe, RGB Industries will contact the customer to discuss available options.

Where an order cannot be fulfilled, any payment received for the unavailable goods will be refunded in accordance with applicable law.

  1. Pricing

Unless otherwise stated, prices displayed on our website are in Australian dollars (AUD).

GST will be included or separately identified as required by applicable law.

Delivery charges and any applicable additional fees will be disclosed before the customer completes their purchase.

RGB Industries reserves the right to correct pricing or product information errors.

Where a material pricing error is identified after an order has been submitted but before it has been accepted, the customer will be notified and given the opportunity to proceed at the corrected price or cancel the order.

We will not charge additional amounts without the customer’s agreement.

  1. Orders and Acceptance

Submitting an order through our website constitutes an offer to purchase the selected products.

An automated order acknowledgement confirms that we have received the order but does not necessarily constitute acceptance.

An order is accepted when RGB Industries confirms acceptance or otherwise clearly communicates that the order has been accepted.

We may contact customers to clarify product specifications, delivery arrangements or other order details before accepting an order.

If an order is declined, any payment already received for that order will be refunded.

  1. Payment

Payment must be made using one of the payment methods available during checkout or otherwise agreed with RGB Industries.

Unless alternative arrangements have been approved in writing, payment is required before products are dispatched or made available for collection.

For custom-manufactured products, payment arrangements may be specified in the relevant quotation or order confirmation.

Where deposits or staged payments apply, these arrangements will be communicated before the order is accepted.

  1. Custom-Manufactured Products

Custom-manufactured products are made specifically to customer requirements.

These may include products manufactured to:

  • Customer-supplied drawings.
  • Custom dimensions.
  • Specified materials.
  • Special finishes.
  • Non-standard configurations.
  • Other agreed manufacturing requirements.

Customers are responsible for ensuring that the information they provide is accurate and complete.

Where drawings or specifications require approval, manufacturing may not commence until the necessary approval has been received.

Changes requested after approval may result in additional costs or revised manufacturing lead times.

Any changes and associated charges will be communicated for customer approval before proceeding.

  1. Customer-Supplied Drawings and Specifications

Where products are manufactured using customer-supplied drawings, measurements or specifications, customers must ensure that the information provided is suitable for their intended requirements.

RGB Industries will manufacture products in accordance with the specifications agreed upon for the order.

Unless expressly agreed, the supply of manufactured products does not include independent engineering design, certification or verification of customer-supplied specifications.

Customers must advise RGB Industries of any particular purpose or performance requirement on which they intend to rely before placing an order.

Nothing in this section excludes applicable statutory guarantees or any responsibility RGB Industries may have under Australian law.

  1. Manufacturing Lead Times

Manufacturing lead times are estimates unless expressly agreed otherwise.

Lead times may depend on:

  • Product complexity.
  • Material availability.
  • Manufacturing processes.
  • Production scheduling.
  • Order quantities.
  • Customer approvals.

Where a significant delay is anticipated, RGB Industries will notify the customer as soon as reasonably practicable.

Any applicable statutory rights relating to delayed supply remain unaffected.

  1. Changes and Cancellations

Customers should contact RGB Industries as soon as possible if they wish to change or cancel an order.

Standard Products

Requests to cancel standard product orders will be assessed according to the order’s processing and dispatch status.

Where cancellation is accepted, any applicable charges will be communicated in accordance with our Refunds & Returns Policy and applicable law.

Custom-Manufactured Products

Custom-made and made-to-order products are manufactured specifically for the customer.

Once an order has been accepted and manufacturing or material procurement has commenced, cancellation may not be possible.

Where RGB Industries agrees to cancel a custom order, the customer may be responsible for reasonable costs already incurred, subject to the agreed terms and applicable law.

These may include materials purchased specifically for the order, completed manufacturing work and other unavoidable costs.

Any proposed cancellation charges will be assessed reasonably and in accordance with applicable law.

Nothing in this section affects a customer’s statutory right to cancel or obtain a remedy where applicable.

  1. Delivery and Collection

RGB Industries offers Australia-wide delivery and local collection from our Lonsdale premises.

Shipping costs, delivery arrangements and collection requirements are outlined in our Shipping & Delivery Policy.

Customers are responsible for providing accurate delivery details and advising us of relevant delivery restrictions.

Where products require specialist freight, unloading equipment or other arrangements, these requirements should be confirmed before the order is accepted.

  1. Inspection and Notification of Issues

Customers are encouraged to inspect goods as soon as reasonably practical after delivery or collection.

If goods are damaged, incorrect or do not meet the agreed specifications, customers should contact RGB Industries promptly.

We may request photographs, order details or other relevant information to assist with investigating the issue.

Failure to report an issue immediately does not automatically remove any rights or remedies available under Australian Consumer Law.

  1. Refunds and Returns

Returns, refunds and exchanges are governed by our Refunds & Returns Policy and applicable Australian law.

RGB Industries does not offer change-of-mind returns or refunds for custom-manufactured products.

Change-of-mind returns for standard products are not generally accepted.

Nothing in these terms limits applicable consumer guarantees or other non-excludable rights.

  1. Australian Consumer Law

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law where that law applies.

Eligible consumers may be entitled to a refund or replacement for a major failure and compensation for other reasonably foreseeable loss or damage.

Eligible consumers may also be entitled to have goods repaired or replaced where they fail to meet applicable consumer guarantees and the failure does not amount to a major failure.

These rights apply in accordance with the Australian Consumer Law and are not excluded by these Terms & Conditions.

  1. Product Use and Installation

Customers are responsible for ensuring products are selected, handled, installed and used appropriately for their intended application.

Any installation instructions, technical information or safety requirements supplied by RGB Industries should be followed.

Where installation, engineering certification or compliance assessment is required, customers should ensure these services are obtained from appropriately qualified persons unless expressly included in the supply agreement.

RGB Industries remains responsible for any obligations that cannot lawfully be excluded.

  1. Intellectual Property

All intellectual property owned by RGB Industries, including website content, product descriptions, photographs, drawings and other materials, remains the property of RGB Industries or its respective rights holders.

Customers must not reproduce or commercially distribute our proprietary materials without permission, except as permitted by law.

Customers supplying drawings, designs or other technical information confirm that they have the necessary authority to provide those materials for the purposes of their order.

Customer-supplied confidential drawings and technical information will be handled in accordance with any applicable confidentiality obligations.

  1. Limitation of Liability

To the extent permitted by law, RGB Industries is not responsible for losses arising solely from incorrect customer-supplied information, unauthorised product modifications or use outside agreed specifications, except where such losses are attributable to a breach of our legal obligations.

Nothing in these terms excludes, restricts or modifies any liability or remedy that cannot lawfully be excluded, restricted or modified.

  1. Privacy

Personal information collected through our website and online store is handled in accordance with our Privacy Policy.

This includes information used for processing orders, payments, deliveries and customer communications.

  1. Changes to These Terms

RGB Industries may update these Terms & Conditions from time to time.

The terms applicable to an order will generally be those in effect when the order is accepted, unless otherwise agreed or required by law.

Changes will not retrospectively remove rights already accrued under an accepted order.

  1. Governing Law

These Terms & Conditions are governed by the laws of South Australia and applicable Commonwealth laws of Australia.

Nothing in this section limits any rights a customer may have under mandatory consumer protection legislation.
